This is to clarify that Credit Card and Debit Card information is always encrypted during transfer over networks

You agree to notify or inform the Company immediately of any unauthorized access or suspicion of use of Your Account or any such breach of security, privacy and confidentiality. Make sure that you logout from Your Account at the end of each session of your usage of our platform.

Violating or infringing any ‘Intellectual Property and Privacy right of others and the Company by posting or distributing content without proper legitimate authorization.
Harassing, bullying, abusing, shaming, threatening, stalking, doxing, harming other users or individuals through means of communication or activity on our Platform.
Posting any content that is defamatory, obscene, abusive, harassing, threatening, or otherwise objectionable.
Posting any content that is discriminatory based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other characteristic.
Indulging in any activity that causes harm to minors and animals.
Impersonating any person or entity, or false stating or misrepresenting your affiliation with a person or entity.
Sending unsolicited promotional materials, junk mail, spam, or chain letters to other users.
Making any defamatory or derogatory remarks, comments or statements of any sort, verbal or written, against the Company that might incur injury to the goodwill, brand value or authenticity of the Company. You are advised to stay within the ambit of basic human etiquettes and decency while giving any user feedback, review or suggestion about the Products and Services and also the Company or Platform as a whole.
Transmitting viruses, trojan horses, worms or any other harmful code or computer instruction or adopting any technological with an intention to gain unauthorized access to our “Site” or “Servers” or that may disrupt, damage, lead to malfunction or interfere with the use of computer or software or limit, jam and create hindrance in the functionality of any computer resource or related systems.

Engaging in any activity that is considered to disrupt public order and peace including any such act that indirectly or actively instigates to commit any cognizable offence.
You acknowledge and agree that any user feedback, review, comment, statement or suggestion that you provide regarding our Products, Services or the Platform/Company are entirely voluntary and are completely your own genuine personal experience about the Services and Products of our Company and not based on any other’s biased opinion or review. We encourage and acknowledge genuine customer reviews and feedback, whether positive or negative. We acknowledge the reviews, feedbacks and suggestions of both satisfied and unsatisfied customers, so that we can work on bettering our services and products accordingly.

Disclaimer: The listing of such products and services on our Platform has to be considered as a mere ‘invitation to offer’ and not an ‘offer for sale’. It is to be clearly stated that by placing an order for any Product in our Platform, You make an offer to the Company such Product from Our Platform. Accepting or Declining any order placed by you solely depends on our own discretion and the Company is not obligated to accept and deliver your order mandatorily. Moreover, we reserve all rights to put a limit on the quantity of any listed product, ordered by you, without any prior notice or intimation.

Drop Shipping:
Nature of our Services: Pawmax operates on a drop shipping model. This means that we do not hold inventory of the products listed on our Site. Instead, when you place an order, we forward your order to a third-party supplier who ships the product directly to you.
Product Availability: While we strive to ensure that all products listed on our Site are available, we cannot guarantee the availability of any particular product at any given time. As we rely on third-party logistics, suppliers and providers to fulfil orders, availability is subject to change without notice and the timeline for delivery is absolutely tentative which may again change as per prevailing conditions. If a product you have ordered is unavailable, we will notify you as soon as possible and provide you with options such as a refund, exchange, or backorder. You agree that though the Company generally caters its services to ship and deliver Products all throughout India, the Company can determine a selective list of areas that it wishes to cater its services and delivery at its sole discretion as per situation and prevailing conditions.
Third-Party Terms: Your purchase of products through drop shipping may be subject to additional terms and conditions imposed by the supplier. We encourage you to review these terms and conditions before placing your order.

Note to the suppliers: The sellers must make sure that they supply/ship their products along with a copy of the generated invoice of the products along with their package of supplied products for authenticity.

Delivery time may vary based on other conditions and circumstances as follows:
In case of any unforeseen mishap or unfavorable situation encountered in or during any of the underlying processes of supply chain, procurement, shipping, etc. delivery time may be little longer than expected.
Act of God (such as earthquakes, storms, floods, etc.), unavoidable accidents, laws, rules, regulations or orders of government authorities, acts of war (declared or not), terrorism, hostilities, blockades, civil disturbances, embargoes, strikes, any natural disasters such as any epidemic or pandemic, or any other event or cause beyond the reasonable control of any Company Party.
Delivery time may also depend on the time period during which your order is placed. For instance, if you place your order during any festive season or any such similar occasion having widespread regional or national influence, employees, delivery partners and delivery agents may be on leave and you can expect your delivery time a little longer than usual.
Returns and Refunds and Cancellations
We make sure the quality and accurate products are delivered to our customers. However if you are not satisfied with our product or any damaged or wrong product has unintentionally been delivered to you mistakenly, you can always claim for a return, refund or exchange without any hesitation. Quality Control

If you receive a product that is damaged, defective, or not as described, please contact us immediately, and we will work with the supplier to resolve the issue.
Limitation of Liability
Pawmax shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the purchase or use of products fulfilled through drop shipping, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
1. Scope of Limitation: To the fullest extent permitted by applicable law, Pawmax's maximum aggregate liability arising out of or in connection with this agreement, the products sold, or the use of our website, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount service fee applicable on such transaction, as set forth in this clause. This limitation applies to all direct and indirect damages, including, but not limited to, damages for:
Personal injury or property damage.
Breach of contract.
Negligence.
Misrepresentations.
Any other cause of action.
2. Exclusions: Notwithstanding the foregoing, the limitations set forth in this clause shall not apply to liability arising from:
Death or personal injury caused by our negligence or that of our employees, agents, or subcontractors.
Fraud or fraudulent misrepresentation.
Wilful misconduct.
Breach of confidentiality obligations.
Violation of applicable laws or regulations.
Our indemnification obligations, if any, as described elsewhere in this agreement.
3. Liability Cap: The total cumulative liability of Pawmax to the customer for any and all claims arising out of or related to this agreement shall not exceed the total fees charged by Pawmax from the brand.
4. Exclusion of Consequential Damages: In no event shall Pawmax be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or use, incurred by the other party, whether in an action in contract or tort, even if Pawmax has been advised of the possibility of such damages.
5. Time Limit for Claims: Any claim arising out of or related to this agreement must be brought within 15 Days after the cause of action accrues; otherwise, such claim is permanently barred.
6. Survival: This Limitation of Liability clause shall survive the termination or expiration of this agreement for any reason.
7. Benefit: This Limitation of Liability clause is mutual and benefits Pawmax, its affiliates, and their respective officers, directors, employees, agents, and subcontractors.
8. Sole Remedy: This Limitation of Liability clause represents the sole and exclusive remedy available to the customer for any claims arising out of or related to this agreement.
Third Party Content and Interactions
1. Third Party Links: Our Site may contain links to third-party websites, services, or resources that are not owned or controlled by Pawmax. We do not endorse or assume any responsibility for any third-party content, advertising, products, services, or other materials available on or through these external sites. You acknowledge and agree that Pawmax shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available on or through any third-party sites.
2. User Interactions: You may have opportunities to interact with other users of our Site through comments, reviews, or other forms of communication. While we encourage positive interactions, we are not responsible for the conduct of any users. You agree to engage respectfully and to comply with our Conditions of Use when interacting with other users.
3. User-Generated Content:
Any content submitted by users (including but not limited to reviews, comments, and suggestions) does not reflect the views of Pawmax. We do not endorse any user-generated content and are not responsible for its accuracy, legality, or appropriateness. We reserve the right to monitor and remove any user-generated content that we deem inappropriate or in violation of our terms.
4. Reporting Violations: If you encounter any third-party content that you believe violates these terms or is otherwise objectionable, please report it to us at [email protected]. We will review such reports and take appropriate action at our discretion.

No Liability: You acknowledge that Pawmax is not responsible for any interactions between you and third parties, including but not limited to disputes arising from transactions or communications with third-party vendors or users. Any agreements made between you and a third party are solely between you and that party.
6. Safe Harbour Clause: For the purposes of this Safe Harbour Clause, Pawmax acts as an intermediary, providing a platform for sellers to list and sell products to buyers. The Company's role is limited to providing access to the platform and related services. To the fullest extent permitted by applicable law, the Company shall not be liable for any content, products, or actions of sellers or other third parties using the platform, including but not limited to:
Infringement of intellectual property rights.
Sale of illegal, unsafe, or misrepresented products.
Breach of contract or warranty.
Any loss or damage arising from transactions between buyers and sellers.
For any of the acts mentioned above herein, the Third party, but the Company (the Service Provider) is to be held solely accountable.
Disputes Clause
1. Informal Resolution: Before initiating any formal legal proceedings, you agree to first contact us directly and attempt to resolve any disputes or claims informally. Please send a written description of your claim to Pawmax, located at CG80, CG Block, Sector II, Bidhannagar, Kolkata, West Bengal- 700091, and allow us thirty (30) days to respond and attempt to resolve the issue.
2. Arbitration (Optional, Review Carefully): If informal resolution is unsuccessful, and only if both parties mutually agree in writing after the dispute arises, the dispute shall be resolved by binding arbitration. The arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
3. Arbitration Procedures (If Arbitration is Used):
The arbitration shall be administered by Indian Council of Arbitration and shall be conducted in accordance with its rules. If no institution is specified, the parties shall mutually appoint a sole arbitrator.
The seat of arbitration shall be Kolkata, West Bengal.
The language of the arbitration shall be English.
4. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of India. Subject to the provisions on Arbitration and Mediation above, the courts in Kolkata, West Bengal, shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement.
5. Injunctive Relief: Nothing in this Dispute Resolution clause shall prevent either party from seeking injunctive relief or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
6. Costs: Each party shall bear its own costs and expenses in connection with any dispute resolution process, including attorneys' fees, unless otherwise awarded by the arbitrator or court.
7. Time Limit for Claims: Any claim arising out of or related to this Agreement must be commenced within 15 days after the cause of action accrues, or the claim is permanently barred.
8. Severability: If any provision of this Dispute Resolution clause is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Indemnification
You agree to indemnify, defend, and hold harmless Pawmax, its affiliates, officers, directors, employees, agents, licensors, and suppliers (the "Indemnified Parties") from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
1. Your Use of the Website: Your access to or use of the website, including any data or content transmitted or received by you.
2. Your Violation of These Terms: Your violation of any of these Terms and Conditions or any applicable law, rule, or regulation.
3. Your User Content: Any user content you submit, post, transmit, or otherwise make available through the website. This includes, but is not limited to, claims of copyright infringement, defamation, invasion of privacy, or violation of any other rights.
4. Your Transactions: Any dispute arising from or relating to your transactions with any third-party sellers or other users of the website.
5. Your Negligence or Wilful Misconduct.

Control of Defence: You will have the right to control the defence and settlement of the claim, provided that you will not enter into any settlement that admits liability on the part of an Indemnified Party or imposes any obligation on an Indemnified Party without their prior written consent (such consent not to be unreasonably withheld).
Indemnified Party Participation: The Indemnified Party will have the right to participate in the defence of the claim with counsel of its own choosing, at its own expense.
7. Limitations: This indemnification obligation will not apply to the extent that the claim arises directly from:
Our Negligence or Wilful Misconduct: The gross negligence or wilful misconduct of the Indemnified Party seeking indemnification.
Our Breach of Contract: The Indemnified Party's material breach of these Terms and Conditions.
Third-Party Claims: Claims brought directly by Pawmax against you.
8. Survival: This indemnification obligation will survive the termination of these Terms and Conditions and your use of the website.
Suspension and Termination
1. Termination by You: You may terminate your account and these Terms and Conditions at any time by:
Ceasing all use of the website and services; and

Termination will be effective upon our receipt of your termination request and completion of any necessary account closure procedures.
